On the basis of these findings, prima-facie it appeared that GLFL had violated Clause A(1), A(2), A(3), A(4) and A(5) of the Code of Conduct specified in Schedule II of SEBI (Stock Brokers and Sub Brokers) Regulations, 1992 compliance of which is mandatory in terms of Regulation 7 of that Regulations. It is also alleged that the broker had violated Regulation 4(a), 4(b), 4(c) and 4(d) specified in Chapter II of SEBI (Prohibition of Fraudulent and Unfair Trade Practices Relating to Securities Markets) Regulations, 1995. Pursuant to the submission of investigation report, Chairman, SEBI had appointed an Enquiry Officer vide order dated 9th March 2000. Accordingly, the Enquiry Officer issued a Show Cause Notice dated 29th May 2001. The broker replied to the Show Cause Notice vide letter dated 19th July 2001. Opportunity of personal hearing was given on 4th September 2001 which was attended by Shri Harnish Patel and Shri Vidyut Mankodi of GLFL who made their submissions. The broker made further

submissions vide letter dated 5th September 2001. The Enquiry Officer concluded that GLFL had spot financed the client’s sell transactions and the money was used by the client for manipulative operations; GLFL dealt on behalf of another NSE Broker, Kinglet who later defaulted at NSE; GLFL, did not exercise due skill and care and facilitated manipulations by the client.  However, it was seen that the broker had surrendered the card to NSE and NSE had approved this surrender and paid all the dues to GLFL. In view of the fact the broker has surrendered the card, the Enquiry Officer has recommended that the brokership of the broker may be cancelled. Pursuant to the submission of the report by the Enquiry Officer, a Show Cause Notice was sent to the broker on 28th March 2002. The broker replied to the Show Cause Notice vide letter dated 3rd May

2002. An opportunity of personal hearing was given before Chairman-SEBI on 25th July 2002 which was attended by Shri Vasant Shah of GLFL Securities along with Sh.Shailesh S Vaidya, Advocate, who made their submissions. It was stated that they took Kinglet as client on the recommendations of Milan Shah and were referred was the purposes of spot finance. They did not deal in their own account and it was merely an error of judgement in choosing the client. I have carefully examined the enquiry report, facts and documents available on record. I find that the broker had dealt for another broker – Kinglet – who was the only buyer in the scrip of KOL and defaulted in their pay-in obligations. I also find that the broker had also discounted the sale of their clients – Kinglet and Rajesh Jhaveri – and had made the payment on spot basis before the official pay-out date. I also find that the broker had made third party payments on behalf of the clients. It is therefore, clear that the broker was not diligent and careful while discharging its duties as a broker and aided and abetted market manipulations in the scrip of KOL. I therefore, agree with the findings and recommendation of the Enquiry Officer. In light of the above, I am of the view that registration of the broker as NSE member need to be cancelled. However, since GLFL have surrendered membership of NSE, I direct that the above mentioned facts showing violations on the part of GLFL be kept on records of SEBI for consideration, i
