“Regulation 3 prohibits any person from buying, selling or dealing in securities in fraudulent manner, use or employ any manipulative or deceptive device in contravention to provisions of the Act, employ any device, scheme or artifice to defraud in connection with dealing in securities or engage in any act, practice, course of business which operates as fraud or deceit upon any person in connection with any dealing in or issue of securities.
